By Todd Gillespie Goldman Sachs Group Inc. plans to give individual shareholders the option of letting the board of directors decide how their votes will be cast, a year after coming closer than ever to having its executive compensation proposal rejected.

Regulators gave a green light to the firm’s request to give retail investors the option of voting with the board by default, according to a Securities and Exchange Commission letter Monday. Those investors account for roughly 30% of Goldman’s shares, according to a person familiar with the matter.

The change is likely to increase turnout in a way the boosts support for the company’s position on key proposals at annual general meetings, where in recent years Goldman has faced significant objection to large pay packages for its top executives.

A third of voting shareholders objected last year to a pair of $80 million retention bonuses for Chief Executive Officer David Solomon and President John Waldron, the most pushback on executive compensation the firm has ever experienced. At the same time, investors responsible for about a quarter of its shares didn’t turn out to vote on the pay proposal at all.

Goldman is following the example of ExxonMobil Holdings Corp., which in September 2025 became the first firm to receive the SEC’s green light for such a voting program. The oil company had faced years of shareholder activist campaigns, and lost a key battle in 2021 that forced it to replace three of its 12 directors.

In a letter to the SEC in September, Jamie Greenberg, the Goldman board’s top lawyer, said that current employees and former partners — who together hold more than 7.6% of the bank’s common stock — have often told the firm that they would like the option to have standing voting instructions.

If shareholders opt in, the program — run by Broadridge Financial Solutions Inc. — will mean their votes will be automaticallyed in line with the board. Those shareholders will still be able to change their votes manually on individual proposals at Goldman’s annual general meetings, or opt out of the program.

Results suggest the program helped lift shareholder voting at Exxon’s meeting this year, but the SEC has also faced scrutiny for allowing it. In December, then-SEC Commissioner Caroline Crenshaw, an outgoing Democrat, cited the policy as part of a deregulatory shift in corporate governance that she said “lopsidedly” benefits company management to the detriment of accountability.
