Executives at Hong Kong’s largest listed companies have a severe lack of technological expertise, with fewer than 1 per cent of directors possessing dedicated artificial intelligence or cybersecurity skills, according to a new report by Grant Thornton Hong Kong.

The firm’s 15th annual Corporate Governance Review – which surveyed 100 major listed firms on Hong Kong’s Hang Seng Composite Index – found that 59 per cent of companies view cybersecurity or AI as principal business risks. Yet only 11 per cent had established specialised board committees to oversee digital threats and technology integration.

These gaps have persisted despite the introduction of updated Hong Kong Exchanges and Clearing (HKEX) Corporate Governance Code standards last year, which introduced mandatory director training, board skills matrices and stricter overboarding limits.

“While overall disclosure quality on HKEX has improved, there remains a disconnect between acknowledged risks and technical expertise at the top,” said Barry Tong, head of advisory at Grant Thornton Hong Kong.

Only 0.56 per cent of directors possessed cybersecurity expertise and just 0.26 per cent had specialist AI skills, while progress on gender diversity remained gradual, Tong added.

“Hong Kong boards remain largely designed for an era focused on capital allocation and traditional risk,” said Ivan So, advisory director at Grant Thornton Hong Kong. “While that approach supported stability for decades, it leaves boards ill prepared for autonomous AI systems and increasingly sophisticated cyber threats.”

As many as 37 per cent of board seats are still filled by executives with traditional backgrounds in finance, accounting, business and economics, leaving nearly two-thirds of large-cap companies without a single director with technical information technology or cyber expertise, according to the report.

However, boards are being refreshed at an accelerating pace ahead of HKEX’s introduction of a hard nine-year cap on independent non-executive director (INED) tenures.

The average INED tenure in the city dropped from 6.8 years in 2025 to 5.8 years in 2026, the report found. Female representation among directors edged up slightly to 22 per cent, though it continues to lag behind European benchmarks of 34 to 40 per cent.
