Sachs Group Inc. bankers reaped massive fees when they handled SpaceX’s blockbuster public offering in June, but the seeds of an even bigger windfall tied to the listing had been planted years earlier. The bank had helped to arrange wealthy clients’ bets on Elon Musk’s company more than five years ago, when SpaceX was worth tens of billions of dollars.
When the aerospace firm went public at a $1.77 trillion valuation, Goldman clients who sold shares received a vast windfall and delivered hundreds of millions of dollars in incentive fees to the bank, according to people familiar with the matter. Its partners were able to invest alongside clients, meaning some current and former top executives may have realized significant gains, too, the people said, asking not to be identified citing private information. A spokesperson for the bank declined to comment. Goldman’s $4 trillion asset- and wealth-management arm is in an enviable position, securing rare access for its clients to investments in companies before they’re public. The best bets, which can often be high risk, show the potential upside of early investing before a firm opens itself to public markets.
The unit’s business handling alternative investments for wealthy individuals, now led by Kristin Olson, also helped clients take part in earlier investment rounds for payments giant Stripe and design software firm Canva, companies often seen as potential IPO candidates. Goldman’s bankers — in a separate division of the firm — were paid about $100 million as lead advisers on SpaceX’s listing. The bank went to lengths to gin up fervor around it, including erecting models of rockets in the lobby of its New York headquarters. On the day, its bankers wore SpaceX-branded green Nike Inc. shoes, reflecting the so-called “greenshoe” clause allowing underwriters to sell additional shares if demand was high.
Finance executives have decided to use the windfall from the incentive fees, which wasn’t included in financial estimates, to bring forward some of its charitable giving for Goldman’s philanthropy efforts because it was more efficient from a tax perspective, said the people, who asked not to be named discussing private information.
A tax change went into effect earlier this year that incentivized companies to accelerate their charitable giving by introducing a new floor for such deductions. Only contributions that exceed that threshold are eligible for tax relief. Last month, Chief Executive Officer David Solomon hinted at his bank’s move. At a conference, he told investors about some unique items that might appear in the bank’s earnings. One stood out: The bank was pulling forward in a “very, very tax-efficient way” years worth of charitable giving.
He warned that the move, along with higher spend in areas such as technology investments, would lift the firm’s non-compensation expenses when it releases numbers in its third-quarter results on Oct. 13.
