NAGOYA, Japan -- Japanese automotive parts supplier Niterra canceled its planned acquisition of domestic rival Denso's spark plug and exhaust gas sensor businesses, the companies said Friday, at Denso's request due to changes in the market.

Niterra announced the agreement in September 2025, with the date of the transfer left open subject to approval under relevant antitrust laws. Denso has since asked to halt the acquisition following a review of its business strategy.

The companies had agreed to March 31, 2026, as the reference date with the price set at 180.6 billion yen ($1.14 billion at current rates), to be reduced based on the number of days between that date and the actual transfer.

Demand is slowing for electric vehicles while picking up for combustion cars, including hybrids. Conscious of these market changes, Denso concluded that "continuing to operate the business would be optimal for maintaining and strengthening its ability to respond to increasingly diverse mobility needs."

Niterra said "prolonged negotiations and an extended acquisition process would not only increase uncertainty regarding [its] future business outlook, but also affect the formulation of integration plans required for a smooth business transfer and synergy creation." The transfer was set to leave Niterra with more than half of the global market for spark plugs.
