Indonesian fintech company Cicil is set to acquire a 30% stake in listed financing company PT Pool Advista Finance Tbk, giving the P2P lending player a foothold in the multifinance sector as it broadens its financing business beyond its traditional platform.
双方于10月2日签署的交易将使Cicil获得Pool Advista Finance的30%股权，而POOL的持股将从76.34%降至46.34%。POOL仍将保持控股股东地位，Pool Advista Finance仍将作为其子公司纳入合并报表。
A transaction between the parties, signed on Oct. 2, will give Cicil a 30% stake in Pool Advista Finance, while POOL’s holding will fall to 46.34% from 76.34%. POOL will remain the controlling shareholder, and Pool Advista Finance will continue to be consolidated as its subsidiary.
该笔交易的价值尚未确定，将根据由金融服务局(OJK)指定的独立公允估值报告确定。交易的完成需满足估值报告的出具、符合OJK和印尼证券交易所的要求，以及支付文件的准备等条件。
The transaction value has yet to be determined and will be based on a valuation by an independent public appraisal firmed with the Financial Services Authority, or OJK. Completion is subject to the issuance of the appraisal report, compliance with OJK and Indonesia Stock Exchange requirements, and theg of payment documents.

The fintech has received backing from several venture firms, including East Ventures, Vertex Ventures SEA & India, K3 Ventures and Insignia Ventures Partners, among others, with $5.52 million in equity funding, according to DealStreetAsia DATA VANTAGE.

At the company’s 10th anniversary event, President Director Yohanes Edward Widjonarko said Cicil would focus on diversifying its funding sources and products, alongside strengthening risk management and partnerships with lenders, borrowers, ecosystem partners and regulators.
POOL表示，其与Cicil在该交易中没有关联关系或利益冲突。交易完成后，POOL仍将是Pool Advista Finance的最大股东和控股股东，因此该交易不会触发强制要约收购。
POOL said it and Cicil have no affiliation or conflict of interest in relation to the transaction. Following completion, POOL will remain the largest shareholder and controller of Pool Advista Finance, so the transaction will not trigger a mandatory tender offer.
截至九月，POOL持有Pool Advista Finance 25.58亿股，占比76.341%；而国有保险公司Asabri持有2.571亿股，占比7.673%。
As of September, POOL held 2.558 billion shares, or 76.341%, in Pool Advista Finance, while state-owned insurer Asabri held 257.1 million shares, or 7.673%.
POOL表示，该协议的签署不会影响其运营、法律地位、财务状况或业务连续性。交易完成后，公司预计出售所得款项将增强其流动性，而Pool Advista Finance仍将是其合并报表范围内的子公司。
POOL said theg of the agreement would not affect its operations, legal position, financial condition or business continuity. Once completed, the company expects the proceeds from the sale to strengthen its liquidity, while Pool Advista Finance will remain a consolidated subsidiary.
