DGB is preparing to offer Ethan Allen CEO and Chairman Farooq Kathwari a role as board chairman emeritus to ensure a smooth transition period should the activist succeed in its proxy challenge, according to people familiar with the matter. DGB, which owns about 5% of Ethan Allen, wants to recognize Kathwari’s contribution to the company, the people said, asking to not be identified because the details aren’t public. Kathwari has been chairman and CEO of Ethan Allen since the late 1980s. He’s currently in the process of stepping aside as the furniture company plans to name a new CEO by mid 2027.

Kathwari nominated himself to the board and launched his own search for a CEO. Representatives for Ethan Allen and DGB didn’t immediately respond to requests for comment.
