Inc. is planning an initial public offering in Tokyo as soon as December, according to people familiar with the matter, setting up what could be one of the larger deals in a down year for Japanese debuts.

The luxury villa operator is working with Nomura Holdings on its prospective IPO, said the people, who asked not to be identified as the information isn’t public. Deliberations are ongoing and details such as the timing could change. A representative of NOTA declined to comment. Nomura didn’t immediately respond to a request for comment.

The listing would test investor appetite for Japanese startups in a market where the number of IPOs has declined. With investors criticizing the underperformance of small-sized listings, the Tokyo stock exchange has emphasized the quality of newcomers over the quantity of debuts.

With smaller companies reconsidering early listings after regulatory changes and a dearth of artificial intelligence-related IPO prospects in the country, the number of first-time offerings in Japan has dropped to 14-year low. Even among the 33 deals this year, only three raised more than $100 million and one — taxi app operator Go Inc.’s — exceeded $500 million.

NOTA raised ¥10 billion ($63 million) from Toyota’s investment arm and SBI Holdings in August, when the company was valued at ¥112 billion, according to financial data provider Speeda in Japan. Minerva Growth Partners Inc. and Hillhouse Investment Management Ltd. also invested in the company in February.

NOTA offers fractional ownership of high-end vacation homes, most of which are located in rural areas like Hokkaido, while some are in the suburbs of Tokyo. The company has changed its name from Not A Hotel this month as it expands into residential property business. It has started taking orders for the sale of residential units starting at ¥69.8 million.
