Shareholders Approve Fox Corp.'s $22 Billion Acquisition of Roku

Shareholders of Fox Corp. and Roku voted on Wednesday to approve Fox's proposed $22 billion acquisition of the streaming platform. According to an SEC filing by Fox, 99.9% of the votes cast by Class B common stockholders favored the transaction. Roku shareholder tallies are expected to be filed with regulators shortly. Under the agreement announced in June, Fox will acquire Roku for $160 per share, consisting of approximately $14.2 billion in cash alongside Fox Class A common stock. Fox anticipates closing the transaction in the first half of 2027, pending antitrust approval from the Department of Justice, which recently issued a second request for documents under the Hart-Scott-Rodino Act.
