Pharmaceutical Co.’s largest shareholder Oasis Management Co. is urging that its privatization process is competitive, as the beleaguered health products maker considers a buyout offer that’s said to exceed ¥500 billion ($3.2 billion).

“When a company is in a privatization process, there should be a competitive process,” Oasis founder Seth Fischer said in an interview in Tokyo. “There shouldn’t be a preferred party simply because the CEO or the family decides who their preferred party is.”Kobayashi is looking to go private as it tries to rebuild from a scandal over contaminated supplements involving suspected deaths. Private equity firms CVC Capital Partners and Nippon Sangyo Suishin Kiko Ltd. are jointly weighing a bid for the Japanese company, people with knowledge of the negotiations said last month.

Kobayashi has said it received a preliminary, non-binding proposal from affiliates of the two firms but hasn’t made any decision. No other buyers have emerged. A spokesperson for Kobayashi declined to comment on Fischer’s remarks.

A special committee composed of outside directors plays a role in this regard, but it’s unclear whether the company has established such a panel.
