TOKYO -- Mitsui & Co. will take U.S.-based Penske Automotive Group private with fellow shareholder Penske Corp., the Japanese trading house said Thursday.

Mitsui and Penske will buy the 27.8% of the auto dealership group that they don't own for about $3.9 billion, with Mitsui investing 240 billion yen ($1.52 billion).
