Directors of FNZ Group Ltd., a digital wealth management platform that’s backed by some of the world’s largest institutional investors, will face staff shareholders in open court in New Zealand over claims their stakes were unfairly diluted.

The High Court of New Zealand ruled that 12 causes of action concerning the directors and the performance of their duties can’t be arbitrated and should instead be determined by the court, according to a statement Tuesday from the employee shareholder group. A further four claims alleging unfair prejudice by FNZ were stayed in favor of arbitration.

In July last year, the group filed a class action suit alleging New Zealand-domiciled FNZ, which until last month was run by Wall Street veteran Blythe Masters, contravened local law during capital-raising rounds in 2024 and 2025. Masters and 16 other current and former directors are named as defendants.

Other director defendants include appointees of FNZ’s institutional shareholders, including the Canadian pension funds La Caisse and CPP Investments, the Singapore state investor Temasek Holdings Pte, Al Gore’s Generation Investment Management and private equity firm Motive Partners LLC.

Representatives for FNZ, La Caisse, CPP, Temasek, Generation and Motive didn’t reply to requests for comment.

FNZ issued preference shares — which rank higher than ordinary shares — and warrants to institutional investors diluting the stakes of employee shareholders, according to the group. It said the transactions shut out the company’s co-founders and core shareholder employees from realizing the value for their 30% ownership of the company’s ordinary equity.

“FNZ’s directors have raised capital over two years on terms that effectively handed the majority, and likely all, of employee shareholder equity to the institutional investors who appointed them, shutting out the employee shareholders who built FNZ over 20 years,” Mike Stevens, a co-founding employee shareholder of FNZ, said in the statement.

FNZ, which was founded in New Zealand in 2003, has its headquarters in London and employs roughly 7,000 staff. It provides automation and transaction services for clients with more than $2.5 trillion of assets combined.
