无人机技术公司 ideaForge Technology Ltd 周五表示，其全资美国子公司 ideaForge Technology Inc. 已终止与美国 First Breach Inc. 的合资协议，因为拟议交易未在约定截止日期前完成。终止协议也是基于双方的共同协商。
Drone technology company ideaForge Technology Ltd on Friday said its wholly owned US subsidiary, ideaForge Technology Inc., has terminated its joint venture agreement with First Breach Inc. of the United States, as the proposed deal did not close before the agreed deadline. The termination was also based on mutual discussions between the two parties.
合资协议于 2025 年 9 月 23 日签署，旨在成立 First Forge Technology Inc.，并共同在美国从事无人驾驶飞行器的许可、采购、设计、工程、制造和分销。终止协议于 2026 年 10 月 23 日签署。根据其条款，双方已不可撤销地相互免除并放弃所有索赔。原协议项下的竞业禁止和非招揽义务将不因终止而存续。
The joint venture agreement was signed on September 23, 2025, to establish First Forge Technology Inc. and jointly undertake the licensing, sourcing, designing, engineering, manufacturing and distribution of unmanned aerial vehicles in the US. The termination agreement was executed on October 23, 2026. Under its terms, both parties have irrevocably released and waived all claims against each other. Non-compete and non-solicitation obligations under the original agreement will not survive the termination.ideaForge signs ₹151 crore loan agreement with Technology Development Board for YETI projectThe company said the proposed joint venture was never implemented because the closing did not occur before the expiry of the long-stop date.

Consequently, no shares were issued and no capital contribution was made under the joint venture agreement.ideaForge said the termination would have no impact on the management or control of the listed company.
ideaForge 表示，终止协议不会影响上市公司的管理或控制权。该交易不属于关联方交易。
The transaction does not fall under related-party transactions.
