The nation’s top markets regulator is working on changes to crowdfunding rules, US Securities and Exchange Commission Chairman Paul Atkins said at an agency advisory committee event.
“I have asked Commission staff to evaluate which aspects of Regulation Crowdfunding can be amended to reduce compliance burdens and improve the rules’ attractiveness for issuers and investors,” Atkins said in remarks Tuesday to the SEC’s Small Business Capital Formation Advisory Committee meeting.
The measures would be part of the SEC’s efforts to expand retail investors’ access to private investments and boost overall capital formation in the US. In September, the SEC also released a proposal to modify who qualifies as an “accredited investor” to purchase shares in privately-held companies.
As of June 30, there were about 9,850 crowdfund offerings since the rules went into effect in 2016.
Crowdfund Capital Advisors, an advisory firm, earlier this year asked the SEC to raise the crowdfunding limit to $20 million per offering, from the current $5 million. The current cap forces companies that want larger investments to conduct several funding rounds, the firm said.
During the meeting Atkins reiterated plans to change rules governing how companies in the IPO process can communicate with potential investors. Atkins said he was particularly focused on bringing greater clarity to so-called gun jumping rules, which sets limits on marketing and other communications with investors during three different stages of the IPO pipeline. The rules were put in place to prevent companies from overhyping the value of their securities, and ensuring that all potential investors have access to the same information.
At the meeting, Atkins said the current rules are difficult for issuers to navigate, and can chill communications with investors, reiterating complaints he voiced in May.
