Arora’s compensation for the 2026 fiscal year that ended in July totaled $80.3 million, a roughly 20% decline from a year earlier, the company said Tuesday in its latest proxy statement. Palo Alto Networks shareholders voted against the firm’s executive pay last year for the seventh time since 2015. Much of the pay is tied to stock.

“Although the final results of the say-on-pay vote were disappointing, we treated it as a call to action,” Palo Alto Networks said in the proxy statement, detailing changes to its executive compensation program. Among other things, the company is reducing the maximum payout for performance-based stock to 300% from 400%.

Most publicly traded firms enjoy overwhelming support from shareholders for the pay of their leaders.

Arora and Palo Alto Networks’ board of directors have previously defended his pay, noting the company’s share performance under his leadership. Palo Alto Networks didn’t immediately respond to a request for comment.
