TOKYO -- Major Japanese aviation group ANA Holdings announced on Thursday that it will acquire a company that owns regional airlines in Japan. The operator of All Nippon Airways aims to rebuild domestic flight competitiveness as it faces tough sales conditions due to population decline in Japan, weakening demand and soaring fuel costs.

With the Japanese government lifting restrictions on investment in mid-sized airlines, ANA's move marks the first step toward the restructuring of Japan's domestic airlines.

ANA will make Regional Plus Wings (RPW) a wholly owned subsidiary. RPW is a parent company of Hokkaido-based Airdo and Solaseed Air, which is headquartered in Miyazaki in southwestern Japan. ANA will acquire RPW through a stock swap but has not disclosed other details.

It reached a basic agreement with RPW on Thursday and aims to complete the acquisition by April 2027.

Enhancing the ANA brand with [more] domestic routes will attract more international passengers, ANA Holdings President Koji Shibata said at a news conference on Thursday.

In addition to the fallout from the COVID-19 pandemic, Japan's shrinking population has reduced high-yield business travel demand. "While revenue is stagnant, fuel costs and operating expenses are rising. Without significant transformation, the sustainable growth of the domestic flight business is impossible," Shibata added.

ANA Holdings, which besides full-service carrier All Nippon Airways, also owns low-cost airline Peach Aviation, currently holds a roughly 15% stake in RPW, and operates code-share flights with Airdo and Solaseed Air, but cannot adjust flight routes and schedules as that would violate Japanese antitrust laws.

But with the acquisition of RPW, ANA aims to establish an integrated flight plan to improve the profitability of domestic routes and maintain its route network.

Airdo operates a popular route between Tokyo's Haneda Airport and Shin-Chitose Airport near Sapporo, in Hokkaido, while Solaseed Air has routes connecting the Kyushu region and Haneda.

Airdo and Solaseed Air will continue to operate flights under their brands for the time being even after becoming subsidiaries, but ANA will be responsible for their business operations.

To improve supply-demand balance and optimize fleet and labor resources, ANA will plan flight schedules for the two airlines in addition to its own. Furthermore, ANA will be responsible for setting fares and procuring aircraft for both carriers.

Until 2011, the Ministry of Land, Infrastructure, Transport and Tourism had prioritized the allocation of flight slots at Haneda Airport to mid-sized airlines, such as Airdo, to encourage them to launch new routes. Investment by major airlines in mid-sized carriers had effectively been capped at 20%, but the ministry abolished that rule at the end of May, permitting major airlines to acquire mid-sized carriers.

Also on Thursday, ANA raised its profit and revenue forecasts for the fiscal year ending in March 2027. It now expects net profit of 99 billion yen ($627 million), up from the previous forecast of 96 billion yen. But the new outlook still represents a 41.4% decrease compared to the previous year's result due to fuel cost increases caused by the conflict in the Middle East.

ANA raised its revenue forecast to 2.87 trillion yen from 2.77 trillion yen, up 13% from the previous year's result.
