Capital, one of Vail Resorts Inc.’s largest shareholders, is supporting the company and its nominees, as the ski resort company tries to fend off a proxy fight against activist investor Oasis Management.

Ron Baron, founder and chief executive officer of New York-based Baron Capital, said in a statement Friday that his firm will vote for Vail’s nominees and support the leadership of current CEO Rob Katz.

Baron added he strongly opposed the directors Oasis had nominated to the board, saying they wouldn’t serve the best long-term interests of investors. Baron Capital owns about 18% of Vail’s shares, according to data compiled by Bloomberg.

Baron said avenues to that growth include improving its rental equipment and ski school offerings as well as investing in technology, mountain infrastructure and the guest experience.

In his statement, Baron also accused Oasis of coordinating with Matthew Prince, CEO of cloud-services provider Cloudflare Inc. “I believe Prince’s self-interested demand that the company sell him Park City, one of its most iconic mountains, is short-sighted and destructive to long-term shareholder value,” he wrote.

Prince, in a statement emailed to Bloomberg News on Friday, denied any coordination with Oasis. He said he had talked with the Oasis team two or three times when they sought his perspective on Vail, but he had no deal or agreement with Oasis and has no idea of its strategy if it were to succeed in the proxy fight.

“I own no shares in Vail and have no economic interest or other relationship with Oasis,” Prince said. “The one thing I do know is that it would be hard to execute a strategy worse than the current management of Vail’s... Worst of all, they’ve taken away the magic of skiing. Any change would be an improvement.”An Oasis spokesperson said in an email Friday that Vail’s board is trying to “distract shareholders from their poor performance by making misleading statements,” including false accusations about coordination and asserting that the board has done a great job.

In the filing, Seth Fischer, the chief investment officer at Oasis, said “a more engaged and accountable board of directors will help ensure that Vail Resorts’ strategic and operating decisions appropriately reflect the interests of its guests, employees, local communities, and stockholders.”Oasis further argued Vail’s current valuation doesn’t reflect its scarce and high-quality assets. The fund said Vail needed new board members to bring in fresh perspectives and relevant operating experience to help on guest experience, pricing strategy, marketing, utilization of hospitality assets and its connection to the community.

Oasis has nominated former Walt Disney Co. CEO Robert Chapek, Riverwood Asset Management founder M. Ashton Hudson, O’Reilly AlphaTech Ventures co-founder Bryce Roberts and US Olympian ski racer Picabo Street to the board. Oasis owns about 9% of Vail shares, according to data compiled by Bloomberg.

In Vail’s proxy statement filed Friday, Katz argued that the company has been implementing new strategies and has seen some early results, as it weathered record-low snowfall last winter.

The board added that none of the dissident nominees offered any new or compelling ideas or views regarding the company’s strategic direction. The board also alleged Prince introduced two nominees to Oasis that it went on to nominate and has found evidence of coordination.

Vail in July also added MGM Resorts International CEO Bill Hornbuckle as a new independent director.

Vail’s shares were down almost 2% to $151.75 at 2:56 p.m. in New York trading on Friday, giving it a market value of about $5.4 billion.
