The dual-listed New Zealand retailer behind Kathmandu, Rip Curl and Oboz confirmed exclusive talks over a possible sale to a US consumer brand group.

KMD Brands, the dual-listed New Zealand company behind the Kathmandu, Rip Curl and Oboz outdoor brands, confirmed on Monday that it has entered exclusive talks over a possible takeover with an unnamed United States consumer brand group. The retailer, listed on both the ASX and NZX, said the discussions remain preliminary and no price or timeline has been agreed.

The exclusive talks follow a lengthy stretch of pressure for KMD Brands, which has closed underperforming stores and taken impairment charges across its three divisions in recent years. The company previously considered splitting Kathmandu, Rip Curl and Oboz into separate sale processes before shifting toward a single buyer for the whole group, according to people familiar with its strategic review.

Shares will stay under close watch while due diligence continues, with no guarantee the talks produce a binding offer. A completed deal would hand an American group control of three well-known outdoor and surf brands with hundreds of stores across New Zealand, Australia and international markets, reshaping ownership of the region's adventure-retail sector.
