They also said the two backed the listing publicly from April 2026 and did not raise it at the three Sir Dorabji Tata Trust meetings held since, according to the reply. The reply added that SDTT's September 16 resolution, passed by majority, asked Srinivasan not to vote on listing items. The joint response said that the Trusts' vote under Articles 118 and 121 was overridden by their own nominee.

Underscoring the stance against listing, the reply also said that the RBI did not mandate listing and only asked for a lawful route to comply with regulations. The four trustees also defended the September 28, 2026, letter to keep Tata Sons private, saying it implements the long-standing, unanimously approved position of SDTT and SRTT.

The Tata Trusts collectively hold about 66% of Tata Sons, while SDTT holds about 28%, making the Trusts' position an essential part of any restructuring requiring shareholder and NCLT approval.
