The Sir Dorabji Tata Trust has been given an extension until October 19 to file its reply before the Maharashtra Charity Commissioner, sources told CNBC-TV18 on Monday.SDTT holds about 28% in Tata Sons and is its largest shareholder. The trust's earlier deadline to respond was October 12. As CNBC-TV18 had reported, the commissioner wrote to SDTT on October 5 and enclosed copies of complaints filed by two of its trustees, Venu Srinivasan and Vijay Singh.

Srinivasan has sought an inquiry into SDTT's administration and governance, as well as its involvement in the affairs of Tata Sons. He has questioned Noel Tata's appointment and continued status as a perpetual trustee, and the basis of his chairmanship of Tata Trusts. He has also questioned the induction of Noel Tata's son, Neville Tata, into SDTT. Srinivasan has asked the commissioner to freeze the composition of the SDTT board while an inquiry is pending. Depending on the findings, he wants action that could include the suspension or removal of trustees.

Noel Tata has opposed the reappointment.A day before that board meeting, on September 16, SDTT passed a resolution concerning Srinivasan's participation in Tata Sons' listing-related decisions. Srinivasan, a nominee director on the Tata Sons board, has challenged the move before the commissioner.

He says it was an attempt to prevent him from exercising his independent judgement. This is not the first time the commissioner has stepped into the affairs of Tata Trusts this year. In April, a complaint was filed over the composition of the Sir Ratan Tata Trust board, where three of the six trustees are perpetual trustees. In May, the commissioner directed SRTT to postpone a board meeting scheduled for May 16. The commissioner also told SRTT not to hold meetings until an inspector's report was submitted. SRTT is the other principal Tata Trust shareholder in Tata Sons.

Srinivasan and Singh have since questioned how an SRTT meeting could have been held to consider a proposal to merge Tata Electronics Support Services and Tata Consulting Engineers into Tata Sons, given the May order. The commissioner has another Tata Trusts matter coming up this week. On October 15, the commissioner will hear objections filed by former trustee Mehli Mistry against the change report recording his exit from the trusts. Mistry has alleged governance lapses and conflicts of interest involving some trustees. Tata Trusts has disputed his allegations, and the commissioner has not ruled on them.
