Poland has launched a formal national security review of the takeover of Polish commercial broadcaster TVN after Paramount Skydance acquired Warner Bros. Discovery for $110 billion (€98 billion), Polish officials said Thursday.
国有资产部（MAP）表示，该部门周二晚间收到关于TVN所有权变更的正式通知，并于周三启动行政程序。
The Ministry of State Assets (MAP) said it received formal notification of the change in TVN’s ownership late Tuesday and began administrative proceedings on Wednesday.
据波兰媒体报道，该部门传播部门主管普热梅斯瓦夫·库克（Przemyslaw Kuk）表示：“国有资产部将依据2015年7月24日关于特定投资控制的法律进行程序。”
“The MAP will conduct proceedings in accordance with the provisions of the Act of 24 July 2015 on the control of certain investments,” said ministry communications director Przemyslaw Kuk, according to Polish media.
欧洲委员会在7月经过反垄断审查后，有条件批准了该合并。波兰媒体报道称，委员会审查了竞争问题，但未评估该交易对媒体多元化可能产生的影响。
The European Commission approved the merger conditionally in July following an antitrust review. Polish media reported that the Commission examined competition concerns but did not assess the transaction’s possible effects on media pluralism.

At the end of 2024, Poland placed TVN, rival broadcaster Polsat, and several telecommunications and defense companies on a list of strategically protected firms. The government said the move was intended to protect public order, national security, and prevent potentially hostile takeovers. Prime Minister Donald Tusk at the time linked the decision to concerns about possible foreign interference, including Russian attempts to influence Poland’s media and political system. Kuk said Thursday that the review would be carried out retrospectively because the global transaction has already been completed.

Paramount Skydance completed its acquisition of Warner Bros. Discovery on Oct. 6, forming a new media group known as Skydance. The combined company controls assets including CNN, CBS, HBO and TVN, one of Poland’s largest private broadcasters.

Under Polish law, the review can end either with approval of the existing ownership structure or with a finding that the shareholder may not exercise rights attached to its TVN shares.

“In such a case, the minister of state assets may order the sale of the shares of TVN within a specified deadline,” said Kuk.

TVN operates TVN24, one of Poland’s leading rolling-news channels, and has played a particularly prominent political role during the last decade.

Reporters Without Borders warned in July that the Paramount Skydance takeover posed a “direct risk” to TVN24’s editorial independence.
