The directors recruited to steer Poundland through its emergency sale process less than two weeks ago are on the brink of resigning, heightening the risk that one of Britain's biggest discount retailers will collapse within days, risking thousands of job losses.

Sky News has learnt that a trio of board members appointed on 15 October are expected to quit after a disagreement with Poundland's majority owner, Gordon Brothers.

Sources said the dispute, which centres on the shareholder's decision not to accept a solvent offer for the company from Martin Property Group, meant that Poundland was increasingly likely to be broken up after being placed into insolvency proceedings.

If it materialised, such a development would threaten thousands of high street jobs, with a filing for administration possible within hours of John Healey's inaugural budget as chancellor of the exchequer.

That would come as a bitter blow to the government, which is desperate to project a positive outlook for the economy despite an array of fiscal headwinds.

Sources said the fading hopes of a rescue deal for Poundland could yet be revived if a revised offer for the company was submitted in the next 48 hours.

The three directors appointed this month to the Poundland board were Andrew Kirkpatrick, a former adviser to Steinhoff International when it owned Poundland; Stephen Welch, who is overseeing efforts to revive British-based fintech FNZ; and Dominic Young, a former director of The Spectator's owner when it was sold to the hedge fund tycoon Sir Paul Marshall.

Sources said the trio had expressed disquiet at what appeared to be attempts by Gordon Brothers to manoeuvre Poundland towards an insolvency process.

Martin Property Group has made a solvent offer for the company - including preserving a distribution centre in Andy Burnham's Makerfield constituency.

At the weekend, the Telegraph reported that another Irish company, Innovest Holdings, was also pursuing a solvent bid for Poundland, although the extent of its funding remained unclear on Tuesday morning.

If it does collapse, Poundland would be among the biggest retailers to go bust for years.

It employs over 10,000 people and trades from about 600 stores.

Gordon Brothers, which only took control of Poundland in the summer of 2025, is understood to believe that a £30m shareholder loan - for which it paid just £1 - is more likely to be repaid in full in a break-up scenario.

A pack of retailers, including rival Poundstretcher, B&M, Iceland and The Range, have reportedly expressed interest in varying numbers of Poundland stores.

Martin Property Group is said to have proposed full repayment of the £30m on its existing terms, with the loan not due to mature for several more years.

Gordon Brothers is understood to have expressed concern that Poundland could be liquidated before that date, meaning it would miss out on full repayment of the loan.

Alvarez & Marsal (A&M), the professional services firm, has been handling the Poundland auction since the summer, although it was unclear if it would land the administrator's role in the event that the chain does collapse.

Poundland's management team had identified Martin Property Group as its preferred partner, prompting Gordon Brothers to appoint the trio as independent directors "bringing additional M&A transaction and industry experience".

Even after a store closure programme triggered by its sale last year, Poundland remains one of the biggest general merchandise retailers in the UK.

The company also has a presence in the Irish retail market, taking its total number of outlets to between 550 and 600.

Warsaw-listed Pepco Group, which sold Poundland to Gordon Brothers last year, retains a minority stake in the chain, which has struggled for years as a consequence of rampant inflation and a diversification of its product mix which drove shoppers to rival chains. Sky News reported at the start of the process that Gordon Brothers was keen to agree a deal by the end of October.

Sales figures released in recent weeks suggest that Poundland's performance has begun to improve since the Gordon Brothers deal, with a new store format said to have produced positive results.

Those figures have raised doubts among some about whether an insolvency appointment is required. Gordon Brothers said: "As well as interest from buyers for the whole business, the sale process has also surfaced a number of formal and indicative offers for significant viable parts of the business from established retail operators.

These options will now be objectively evaluated, with a view to minimising uncertainty for Poundland's people and all relevant stakeholders."
