By Momoka Yokoyama Aspex Management, which says it owns 7% of Nidec Corp., pushed for Mitsuya Kishida to remain as chief executive to guide it through an accounting crisis and turmoil involving a potential new ¥1 trillion ($6.4 billion) impairment charge, adding to the disarray at the troubled electric-motor supplier. Kishida’s exit, announced by the company on Tuesday after it was first reported by a Japanese magazine, stunned investors and triggered a 21% decline in Nidec’s shares through Tuesday.

The company needs to focus on restoring its financial reporting and resolving a delisting warning from the Tokyo Stock Exchange, the Hong Kong-based hedge fund wrote in a letter to Nidec’s board this week. Michio Kaida, Nidec’s chief technology officer who has been at the Nidec group for decades, will replace Kishida effective immediately, the company said in a statement on Tuesday.

Given that Kishida was brought on board relatively recently in 2022 by Nidec founder and top shareholder Shigenobu Nagamori, the executive shuffle could indicate that a power struggle is underway. Nidec’s directors should “balance continuity in deliveringthese forward-looking objectives,” Aspex wrote in the note seen by Bloomberg News, adding that it supports Kishida, providing that he “remains fit and proper,” stays on “as chief executive officer for this purpose.”

Aspex also called for an updated mid-term plan. Representatives for Nidec didn’t respond to a request for comment on the letter. Nidec, which is scheduled to restate some past earnings on Wednesday, is also facing a steep writedown stemming from the accounting charges and a drop in value in its businesses supplying motors for electric cars and appliances, according to Diamond magazine and the Nikkei newspaper.

The accounting scandal erupted last year when Nidec disclosed years of improper balance sheet practices, including overstating raw-material and inventory values, misstating customs declarations, booking government grants as revenue and capitalizing labor costs to defer expenses.

Nagamori, the hard-charging founder who set lofty targets for the business and achieved them for many years, created an environment that led to employees seeking to deliver numbers at all costs. The management turmoil, accounting issues and drop in shares could now lead to the company being taken over, or broken up.

According to the letter dated Sept. 28, Aspex owns around a 7% stake in Nidec. That makes it the third-largest shareholder after Nagamori and activist investor Oasis Management Co., according to data compiled by Bloomberg.

Nidec shares rose as much as 5.4% on Wednesday, after the company confirmed a Nikkei report that it was considering the sale of a components unit to Carlyle Group Inc.
