SE’s chief executive officer promised to honor Evonik Industries AG’s existing job guarantees through 2032, as the chemicals company stepped up lobbying efforts for a €10.3 billion ($11.5 billion) takeover of its rival.

A deal would strengthen both companies as Europe’s chemical industry faces mounting pressure from Asian and Middle Eastern competitors, Markus Kamieth said in a video message. A combination would also help preserve German jobs and create a stronger global player.

“The chemical industry is consolidating, one way or another,” Kamieth said, citing the risk of takeovers by foreign investors. “The question is: Do we shape this ourselves?”The Ludwigshafen-based firm won’t pursue a transaction at any price, he said. Any combination would have to create value and leave the enlarged group stronger than either business would be on their own, according to Kamieth.

BASF approached Evonik in September with a non-binding offer of €22.15 a share, which Evonik rejected as too low. BASF has since signaled it may raise its offer if Evonik agrees to negotiations, while also courting RAG-Stiftung, the largest shareholder with a roughly 43% stake.

RAG-Stiftung was created to finance the perpetual costs left by Germany’s former hard-coal mines, including pumping mine water and protecting groundwater, and uses returns from investments including its Evonik stake to meet those obligations. Its board of trustees includes the premiers of North Rhine-Westphalia and Saarland, Germany’s finance and economy ministers and the head of the chemicals union, giving political and labor representatives a prominent role in the foundation’s governance.

Kamieth pointed to potential synergies from combining Evonik’s specialty-chemicals businesses with BASF’s Verbund network, including cheaper and more secure access to key inputs as well as savings in procurement, infrastructure and research.
